Legal Disclaimer
These Terms govern access to and use of all intelligence products and services provided by Couto & Silva Intelligence, headquartered in Rio de Janeiro, Brazil. Please read carefully before purchasing or accessing any content.

These Terms are governed by Brazilian law. In case of dispute before Brazilian courts, the Portuguese version shall prevail.

Intellectual Property and Licensing
All content provided by Couto & Silva Intelligence, including but not limited to the ARGUS Brazil Intelligence Briefs™ (BIB) and the MIEG-SIA Methodology, is the sole intellectual property of Couto & Silva Intelligence, protected under Brazilian Law No. 9,610/1998 (Copyright Act) and applicable international copyright treaties.
Upon purchase or subscription, the Subscriber is granted a non-exclusive, non-transferable, single-user license for internal use only. Redistributing, sharing access credentials, duplicating, or publishing any content — in whole or in part — without explicit written consent is strictly prohibited and subject to civil and criminal liability under applicable law.

Methodological Confidentiality and Scope of Disclosure
Intelligence products delivered to Subscribers present exclusively directional trends of analytical vectors, qualitative diagnostics, and strategic scenario readings. Numerical scores, internal quantitative indicators, Key Diagnostic Indicator (ICD) designations, multiplier values, classification ranges, calculation formulas, and all other technical components of the MIEG-SIA Methodology constitute proprietary and confidential information and are not disclosed — in whole or in part — in any product delivered to Subscribers.
The Subscriber acknowledges that non-disclosure of the internal quantitative mechanisms is a structural condition of the service and an essential element of Couto & Silva Intelligence's intellectual property protection. Such non-disclosure does not constitute omission, limitation of quality, or breach of contract.

Prohibition of AI Training and Data Scraping
Subscribers are expressly prohibited from using any content, data, methodology, or framework from Couto & Silva Intelligence to train, feed, fine-tune, or otherwise influence Large Language Models (LLMs), Artificial Intelligence systems, or internal corporate data scrapers — whether commercial or proprietary.
The unauthorized ingestion of proprietary intelligence into machine-learning environments constitutes a violation of these Terms and of applicable intellectual property law, and may give rise to claims for material and moral damages.

Couto & Silva Intelligence provides strategic geopolitical diagnostics, sovereignty risk assessments, and political-institutional analysis. Nothing contained herein or in any delivered product constitutes financial, investment, or legal advice. Couto & Silva Intelligence is not responsible for any investment decisions, financial losses, or market positions taken based on the information provided. The Subscriber assumes full and sole responsibility for all decisions made based on the contracted intelligence.

Limitation of Liability
To the maximum extent permitted by applicable law, the total and aggregate liability of Couto & Silva Intelligence for any claims arising from or related to the use of the contracted services shall be limited to the total amount effectively paid by the Subscriber in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Couto & Silva Intelligence be liable for indirect, incidental, consequential, punitive, or special damages, including but not limited to lost profits, loss of business opportunities, or business interruption.

Force Majeure
Couto & Silva Intelligence shall not be liable for delays or interruptions in service delivery resulting from events beyond its reasonable control, including but not limited to: natural disasters, pandemics, acts of war or terrorism, government sanctions, widespread telecommunications or power infrastructure failures, cyberattacks, and legislative or regulatory changes that prevent fulfillment of obligations.
Couto & Silva Intelligence will use commercially reasonable efforts to resume service delivery as soon as the force majeure circumstances cease.

Data Protection
Couto & Silva Intelligence collects only the data strictly necessary to deliver its services: the Subscriber's email address and payment data processed exclusively by the Payment Processor (Stripe, Inc.). No personal data is sold or shared with third parties.
Data is treated in compliance with Brazilian Law No. 13,709/2018 (LGPD — General Data Protection Law). International Subscribers located in the European Union acknowledge that their data is processed in accordance with GDPR Article 49(1)(b), as necessary for the performance of a contract.

Amendments to These Terms
Couto & Silva Intelligence reserves the right to amend, modify, or update these Terms of Service at any time, with prior notice to the Subscriber via email no less than fifteen (15) calendar days before the amendments take effect.
Continued use of the services after the effective date of the amendments constitutes tacit acceptance of the new Terms. If the Subscriber does not agree with the modifications, they must cancel their subscription before the new Terms take effect.

Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, including Law No. 9,610/1998 (Copyright Act), Law No. 13,709/2018 (LGPD), and the Marco Civil da Internet (Law No. 12,965/2014).
Domestic Subscribers (Brazil)
The courts of the Judicial District of Rio de Janeiro, State of Rio de Janeiro, are hereby elected as the exclusive venue for any disputes arising from these Terms, with express waiver of any other jurisdiction, however privileged.
International Subscribers
Any dispute arising from or related to these Terms that cannot be resolved amicably shall be submitted to binding arbitration under the Rules of the International Chamber of Commerce (ICC), conducted in English, with the seat of arbitration in São Paulo, Brazil.

Communications and Official Notices
All formal notices and communications from Couto & Silva Intelligence to the Subscriber — including but not limited to amendments to these Terms, service updates, payment failures, and access suspensions — will be delivered exclusively via email to the address registered by the Subscriber at the time of purchase or subscription through the Payment Processor (Stripe, Inc.).
The Subscriber is solely responsible for keeping their registered email address current and for ensuring that communications from Couto & Silva Intelligence are not blocked by spam filters or corporate email policies. Failure to receive a notice due to an outdated or inaccessible email address does not invalidate the notice or relieve the Subscriber of any obligation arising from it.
The official contact address for formal communications directed to Couto & Silva Intelligence is: desk@coutosilva.com. Notices sent to any other address or channel are not guaranteed to be received or acted upon.

General Provisions
If any provision of these Terms is found to be invalid or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.
The failure to exercise or enforce any right provided under these Terms shall not constitute a waiver or novation of that right, which may be exercised at any time.
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof, superseding any prior understandings or agreements, whether oral or written.
